New filing requirement in effect: CBCA businesses must begin to file individuals with significant control information
Starting January 22, 2024, all privately owned federal businesses incorporated under the Canada Business Corporations Act (CBCA) are required to submit information on individuals with significant control (ISC). An ISC can be demonstrated by meeting any of the following criteria:
- Owning, controlling or directing 25% or more shares, either individually, jointly, or in concert with one or more individuals.
- Having control over the corporation in practice, even if you do not own any shares.
- Meeting a combination of any of these factors.
This information needs to be filed with Corporations Canada at the same time as the business’s annual return. This applies to businesses upon incorporation, after amalgamation, or after continuance (import) to the CBCA. Corporation Canada advises that the new Federal Register will be publicly shared on their website. Learn more!
